Terms of Service

B2B SaaS terms - EU/France market - version 8.0 GA

These Terms govern your access to and use of the PayForLead.ai platform (the “Service”) operated by PayForLead.ai SAS. By creating an account or using the Service, you accept these Terms in full. The Service is offered on a B2B basis only - it is not directed to consumers within the meaning of the French Code de la consommation.

1. Object and parties

These Terms are concluded between PayForLead.ai SAS and the legal entity (the “Client”) identified at sign-up. They cover the platform, support, API, and any related software or content. Companion documents - Privacy Policy, Cookie Policy, Acceptable Use Policy, Legal Mentions, and the optional Data Processing Addendum - are incorporated by reference.

2. Service description

PayForLead is a B2B prospecting and revenue-engineering platform that combines AI voice agents (Deepgram + Claude Sonnet 4.5 + ElevenLabs), email outreach, LinkedIn outreach, WhatsApp Business, AI Studio, Marketplace, executive reporting, and CRM integrations. Beta features are clearly labelled and excluded from the SLA.

3. Subscription tiers and pricing

Four tiers - Starter, Growth, Scale, Enterprise - are offered in EUR, monthly or annual (with a 20% annual discount). Prices, seat caps, voice minutes and email volumes are published in your billing page. Overages are billed at the published unit rate; opt-in auto-cap is available.

4. Free trial and renewal

Standard trial is 14 days. Enterprise trial is 30 days subject to a signed mutual NDA. Subscriptions auto-renew at the end of each term; cancel at least 24 hours before renewal (monthly) or 30 days before renewal (annual) via the billing page.

5. Acceptable use

See the Acceptable Use Policy. Spam, Bloctel violations, LinkedIn ToS violations, voice cloning without consent, harassment, fraud, and high-risk AI Act use cases are forbidden.

6. Compliance

You are the data controller for the data you process with the Service; we are your data processor (DPA available at dpo@payforlead.ai). You are responsible for Bloctel, EU AI Act, and GDPR compliance for your use case. The Service implements Article 50 disclosure, Article 14 oversight, and Article 9 voice-cloning consent capture.

7. Intellectual property

We retain all platform IP. You retain all rights in your data and any sufficiently original output generated from your inputs. Feedback you provide is licensed to us perpetually for product improvement.

8. Confidentiality

Mutual confidentiality with a 5-year survival, except for trade secrets which remain protected as long as they retain trade-secret status.

9. SLA

99.9% uptime monthly for Growth/Scale, 99.95% for Enterprise (custom). Service credits are the sole remedy for SLA breach: 10% / 25% / 50% depending on the breach severity, applied to your next invoice on written request within 30 days.

10. Data processing

Governed by our Privacy Policy and a Data Processing Addendum implementing Article 28 GDPR. Sub- processor list and 30-day advance notice for changes are published. International transfers are protected by Standard Contractual Clauses plus the EU–US Data Privacy Framework where applicable.

11. Marketplace

Publishers receive 70% of the gross transaction value; PayForLead retains 30% as platform fee. Disputes raised within 14 days are mediated; verified disputes (uncontactable, fraudulent, do-not-contact) trigger a full Buyer refund.

12. Termination

30-day notice for convenience; immediate for material breach uncured within 30 days. After termination, you may export your data for 60 days; backups are purged within 90 days.

13. Liability

Aggregate liability capped at the fees paid in the 12 months preceding the event giving rise to the claim, customary B2B SaaS exclusions (indirect/consequential/lost-profits), with carve-outs for IP/Confidentiality/AUP breach and gross negligence.

14. Force majeure

Continuous force majeure exceeding 60 days entitles either party to terminate without further obligation.

15. Governing law and jurisdiction

French law. Competent courts: Tribunal de commerce de Paris. Disputes are first submitted to good-faith negotiation, then to CMAP mediation (Centre de Mediation et d'Arbitrage de Paris) before litigation.

16. Dispute resolution

Negotiation - mediation (CMAP) - litigation (Paris). Either party may seek interim injunctive relief at any time.

17. Amendments

We notify amendments by email and in-app at least 30 days before effect. Continued use of the Service after the effective date constitutes acceptance. You may terminate without penalty during the notice window if you object to a material amendment.
